Imagine selling something and accepting shares instead of cash. Shares are slices of ownership in a company.
Their market price changes, so your payment's value can change too. The envelope stays sealed; the money inside gets restless.
That is the wrinkle in Marvell's agreement to buy Lumentum in an all-stock deal, reported by Business Insider on 2 November. Marvell makes chip technology.
Lumentum makes photonics technology for data centers: equipment that uses light to move information between computers. Think of those computers needing fast roads between them, not just powerful engines.
The proposed combination brings those businesses together. Whether the business logic justifies the financial terms is another question.
Business Insider quotes TheStreet Pro's Chris Versace asking whether the revenue, profit and benefits of combining the companies would justify the price.
Then came the market response: Marvell shares fell nearly 13%, while Lumentum shares finished down more than 18%.
Lil'meme has therefore opened a corporate laundromat. He puts share certificates in the washer and retrieves a payment that now fits a dollhouse.
This is a visual joke, not a financial service. Please stop bringing acquisition agreements to the spin cycle.
The useful lesson: an all-stock offer is not a sealed bag of cash. Look at what shareholders receive, how its value can change, and what approvals remain.
A purchase announcement is not a completed purchase.
Repost this before somebody tumble-dries the deposit.

The absurd
Why this is ridiculous
The payment comes with shrinkage.
The breakdown
How it breaks down
Shares are ownership slices. Their prices move, so a share-funded payment can shrink.
The upside
Why it could matter
Check what the payment is made of.
